nTrader Mobile Application

End User License Agreement (EULA)

1. Agreement

This End-User License Agreement (“Agreement” or “EULA”) is a binding contract between:

Nextgen F X Investment LLC
(the “Licensor”, “Company”, “nTrader”, “Software Provider”)

and

The User of the nTrader Mobile Application
(the “User”, “you”).

By downloading, installing, accessing, or using the nTrader Mobile Application (the “Application” or “Software”), the User confirms acceptance of all terms and conditions set forth in this Agreement. If you do not agree, you must not use the Application.

2. Company Identification

The nTrader Mobile Application is developed and provided by:

3. License Grant

nTrader grants the User a limited, non-exclusive, non-transferable, and revocable license to use the Application solely to access services provided by the User’s independent Financial Service Provider (“FSP”) via supported terminal interface connectivity.

The Software is licensed, not sold.

4. Nature of the Software

4.1 Technology Provider Only

nTrader operates solely as:

Software Technology Provider
Software-as-a-Service (SaaS) Vendor
Terminal Interface Software Provider

4.2 What the Application Does Not Do

The Application does NOT:

Operate as a broker
Provide financial services
Provide investment advice
Open accounts
Handle client funds
Execute trades

5. Financial Services Relationship

All financial services are provided exclusively by independent authorized Financial Service Providers (“FSPs”).

The User acknowledges and agrees that:

The User is a client of the FSP, not nTrader
Financial services are provided solely by the FSP
All financial agreements exist exclusively between the User and the FSP

6. End User Relationship and Financial Infrastructure

All financial accounts accessed through the Application are established and maintained solely by the FSP and hosted on infrastructure controlled by the FSP.

nTrader does not:

Operate FSP trading servers
Control financial account infrastructure
Hold client funds
Control trading execution
Independently access or control client financial account data beyond interface connectivity required for functionality

The contractual relationship exists solely between the User and the FSP.

7. No Financial Advice

The Application does not provide financial, investment, legal, or tax advice.

8. Account Access Limitations

The Application allows access only to existing FSP accounts.

The Application does not allow:

Account creation
Deposits or withdrawals
Financial product sales

9. Regulatory Responsibility

All regulatory obligations remain with the licensed FSP. nTrader operates solely as a software technology vendor.

10. Geographic Restrictions

The Application may be restricted in certain jurisdictions based on regulatory, legal, or operational requirements.

11. User Responsibilities

The User agrees to:

Use the Application in compliance with applicable laws
Comply with all agreements entered into with the FSP
Protect login credentials and account access information

12. Data and Privacy

Use of the Application is governed by the nTrader Privacy Policy.

13. Complaint Handling and Institutional Compliance Escalation

13.1 Scope of Complaint Forwarding

nTrader does not act as a financial service provider, dispute resolution body, arbitration authority, or ombudsman.

If a User submits a complaint relating to a financial institution using the nTrader software platform, the User authorizes nTrader to forward such complaint to the designated compliance or support contact of the relevant financial institution.

13.2 Escalation Process

Initial forwarding within approximately 1 business day
First reminder after approximately 5 business days if no response
Final escalation notice after an additional 5 business days
Possible suspension or termination of software services to the financial institution if unresolved

13.3 Compliance Scope Limitation

nTrader does NOT:

Investigate financial disputes
Determine financial liability
Guarantee complaint resolution
Act as mediator between User and FSP

All financial dispute responsibility remains solely with the FSP.

14. End User Relationship Confirmation

By using the Application, the User confirms that:

The financial relationship exists only with the FSP
No financial relationship exists with nTrader
nTrader provides software access only
nTrader is not a party to financial agreements

15. Intellectual Property

All intellectual property rights in the Application and Software belong exclusively to nTrader.

16. Limitation of Liability

To the maximum extent permitted by law, nTrader shall not be liable for:

Trading losses
Financial losses
Actions or omissions of the FSP
Market volatility or trading outcomes

17. Termination

nTrader may suspend or terminate access to the Application where required by applicable law, regulatory requirements, contractual obligations, or breach of this Agreement.

Suspension or termination may result in loss of terminal interface connectivity to the FSP’s systems.

18. Updates

nTrader may update this Agreement periodically. The latest version will be available on the official website.

19. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates.

20. Platform Distribution and Third-Party Store Disclaimer

Apple Inc. and Google LLC are not responsible for the Application, including its maintenance, support, functionality, or content.

nTrader is responsible only for providing software maintenance, technical support, and application updates, subject to the limitations of liability, disclaimers, and scope of responsibility defined in this Agreement.

By downloading, installing, or using the Application from the Apple App Store or Google Play Store, the End User confirms that they have read, understood, and agreed to be legally bound by the complete End User License Agreement prior to using the mobile application.

Any financial services, financial transactions, or financial disputes are solely between the End User and the Financial Service Provider (FSP) or financial institution with whom the End User maintains the underlying financial account and business relationship.

nTrader does not recommend, promote, or advise End Users to select any specific Financial Service Provider. It is the sole responsibility of the End User to independently verify the regulatory status, licensing, and legal standing of any Financial Service Provider they choose to work with.
